These Terms of Service govern your access to and use of the Miaise platform. Please read them carefully before creating an account or using the Service. By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance and binding effect
These Terms of Service ("Terms") form a binding legal agreement between you and Deckmint LLC, doing business as Miaise ("Miaise," "we," or "us"). By clicking "I agree," creating an account, or otherwise accessing or using the Service (as defined in § 3), you confirm that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference, including the Privacy Policy and the Business Associate Agreement ("BAA") required for therapist accounts.
If you do not agree, do not create an account and do not use the Service.
These Terms take effect on the date you first accept them and remain in effect until your account is terminated under § 16.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old.
- Be a natural person (not a corporation, LLC, or other legal entity accessing the Service on behalf of multiple practitioners under a single account, unless Miaise has separately authorized a group or enterprise arrangement in writing).
- Reside in and practice in the United States.
- If creating a Therapist Account (as defined in § 3), hold a current, valid license, certification, or registration from a United States state, territory, or other authorized regulator to provide hands-on therapeutic, bodywork, esthetic, or adjacent professional services to clients in the course of your practice (including, without limitation, as a licensed massage therapist, esthetician, athletic trainer, manual therapist, or other licensed practitioner in an adjacent discipline), and maintain that credential in good standing for the duration of your use of the Service.
By creating a Therapist Account, you represent and warrant that:
- The credential information (license, certification, or registration) you provide at registration is accurate and complete.
- You will promptly update your account if your credential status changes, including any suspension, revocation, lapse, or expiration.
- You have authority to accept these Terms and the BAA on your own behalf.
- Your use of the Service is consistent with the scope of practice authorized by your credential and by applicable state, territorial, or federal law.
Miaise verifies credentials at onboarding by manual lookup against the issuing authority's public registry, and may re-verify periodically. Providing false or materially misleading credential information is grounds for immediate termination under § 16.
3. Definitions
When used in these Terms, the following terms have the meanings set out below. Defined terms are bolded on first use throughout this document.
- Service: The Miaise mobile application (iOS and Android), web application at miaise.com, and all related APIs, features, and content made available by Miaise under these Terms.
- Therapist Account: An account registered by a licensed practitioner — including, without limitation, a licensed massage therapist, esthetician, athletic trainer, manual therapist, or other licensed professional providing hands-on therapeutic, bodywork, esthetic, or adjacent professional services — who uses the Service to support their practice. The defined term "Therapist Account" is used as a familiar umbrella throughout these Terms; eligibility is governed by § 2 and is not limited to massage therapy.
- Client Record: Any record created or stored within the Service that pertains to an identifiable individual receiving services from the therapist, including SOAP notes, intake forms, session logs, and related documentation.
- PHI: Protected Health Information as defined under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations ("HIPAA"), to the extent any information within the Service qualifies as such.
- Subprocessor: A third-party service provider engaged by Miaise to process data on behalf of Miaise in connection with the Service. Current Subprocessors are listed at /security#subprocessors.
- Subscription: A recurring paid plan that grants you access to the full feature set of the Service, billed on the terms described in § 7.
- BAA: The Business Associate Agreement entered into between Miaise (as Business Associate) and you (as Covered Entity) pursuant to HIPAA, executed at onboarding before any PHI is processed within the Service.
4. Account responsibilities
One person per account. Each account is for a single individual. You may not share your account credentials with any other person, including associates, employees, or contractors. If you operate a multi-practitioner practice and want additional accounts, contact hello@miaise.com.
Multi-factor authentication. Multi-factor authentication ("MFA") is required on all accounts. You must enable and maintain MFA at all times. Miaise may suspend your account if MFA is disabled or bypassed.
Credential security. You are responsible for maintaining the confidentiality of your password and any authentication credentials. You agree to use a strong, unique password for your Miaise account and not to reuse credentials from other services.
Notice of compromise. If you know or reasonably suspect that your account credentials have been compromised or that an unauthorized party has accessed your account, you must notify Miaise immediately at security@miaise.com and take steps to secure your account. Miaise is not liable for losses caused by unauthorized access that results from your failure to safeguard your credentials.
Accuracy of account information. You agree to provide accurate, current, and complete information when creating and maintaining your account and to update that information promptly if it changes.
5. Acceptable use
You may use the Service only for lawful purposes and in connection with your licensed practice as a massage therapist or adjacent licensed bodywork professional in the United States. The following conduct is prohibited:
- Scraping and automated access. You may not use bots, scrapers, crawlers, or other automated tools to access, index, or collect data from the Service except through APIs expressly made available by Miaise for that purpose.
- Reverse engineering. You may not decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the limited extent that applicable law expressly permits such activity notwithstanding this restriction.
- Unauthorized access. You may not attempt to access any account, system, or network that you are not authorized to access, or probe the Service for security vulnerabilities without Miaise's prior written authorization.
- Off-label use. You may not use the Service for any purpose other than supporting your own licensed clinical practice, such as reselling access to other practitioners, operating the Service as a backend for a competing product, or using the Service to process records for practitioners who are not parties to these Terms.
- Training third-party models on PHI. You may not use any output of the Service that contains PHI to train, fine-tune, evaluate, or otherwise improve any artificial intelligence or machine learning model operated by a third party, or any internal model not expressly authorized under the BAA.
- Harassment. You may not use the Service to harass, threaten, or harm any client, Miaise staff member, or other person.
- Illegal activity. You may not use the Service in violation of any applicable federal, state, or local law or regulation, including but not limited to HIPAA, state privacy laws, and applicable massage therapy licensing requirements.
- Misrepresentation. You may not impersonate any person or entity, misrepresent your affiliation with any person or entity, or provide false information to Miaise or within Client Records.
Violation of this section may result in immediate suspension or termination of your account under § 16 and may expose you to civil or criminal liability.
6. Service description
Miaise is a practice management and documentation tool designed for licensed practitioners providing hands-on therapeutic, bodywork, esthetic, or adjacent professional services — including, without limitation, licensed massage therapists, estheticians, athletic trainers, and manual therapists. The Service's core feature set is bodywork-native and originated from massage therapy practice; practitioners using the Service for adjacent or non-massage workflows configure session detail flow, technique catalog, and intake structure to match the workflow of their specific practice. The Service includes the following features (subject to change as described in § 18):
- SOAP note drafting with AI assistance (see § 10)
- Voice transcription of session notes
- Pre-session briefing audio synthesized from intake context
- Intake form distribution and pre-session contraindication signaling, including AI-assisted review of free-text narrative responses
- Client and session management, including a per-business block list and soft-decline workflow
- Public booking page hosted at miaise.com/book/[your-slug], with configurable booking modes, service catalog, photo gallery, in-frame theming, and integration with Stripe Connect for collecting payment from booking-page clients (see § 11)
- Mileage capture using device GPS and IRS-ready Schedule C tax export
- Optional bank-account connection through Plaid for business-expense import and classification (see § 11)
- Supplies and receipt tracking, with on-device receipt capture and OCR-based extraction for Schedule C Line 22
- Body-load aggregation and session tracking
- Safety check-in tools, including en-route and arrival confirmations and a panic feature
- Calendar scheduling, booking-window and lead-time controls, cancellation and reschedule flows
- Account portal with subscription management, billing-history view, and a Stripe-hosted billing portal entry point
- Multi-factor authentication, biometric app-lock on mobile, and end-to-end audit logging on every access to or modification of PHI
What the Service is not. The Service is not a medical device, clinical decision support system, electronic health record system offered to end-clients, or a billing or insurance-claims processor. Nothing in the Service constitutes medical advice, a diagnosis, a treatment recommendation, or a clinical opinion of any kind.
No substitute for licensure or professional judgment. The Service is a documentation and practice-management aid. It does not replace your state license, your clinical training, your professional liability insurance, your HIPAA obligations to your clients, or your own clinical judgment. You remain solely responsible for all clinical decisions, for the accuracy of every record you sign or submit, and for compliance with the laws and regulations governing your practice.
No client-facing medical portal. Miaise is a tool for the therapist. Intake forms, booking confirmations, and pre-session communications are routed through the therapist's account. Miaise does not operate a patient-facing health portal for end-clients and is not a Covered Entity in its own right with respect to end-clients.
7. Subscriptions, fees, and renewal
Waitlist and closed beta. During the closed-beta period preceding general availability, Miaise may grant access to a limited version of the Service at no charge or at a reduced rate. Miaise will provide advance email notice before that period ends and a paid Subscription is required to continue using the Service.
Subscription pricing. Access to the full Service requires an active Subscription. The current monthly fee is stated on miaise.com and in the Stripe checkout flow. Miaise currently offers an early-adopter monthly rate, locked for the first 100 therapists who subscribe after general availability. Pricing is stated on the website; these Terms describe the structure, not the dollar amount.
Student pricing. Miaise may offer reduced-rate pricing for students enrolled in an accredited massage therapy or bodywork program. If offered, eligibility criteria and pricing will be stated on the website and are subject to change with 30 days' advance notice.
Auto-renewal. Subscriptions renew automatically on the same day of each month (or the next business day if billing falls on a weekend or holiday) until you cancel. You authorize Miaise to charge your payment method on file through Stripe for each renewal period.
Price changes. Miaise will give you at least 30 days' advance email notice before any change to your Subscription fee takes effect. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.
Cancellation. You may cancel your Subscription at any time through the in-app account settings or through Stripe's hosted billing portal accessible from those settings. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date.
Refund policy. Subscription fees are generally non-refundable for partial months. As a limited exception, if you are a new subscriber and you cancel within the first 30 days of your first paid billing period, you may request a pro-rated refund for the unused portion of that period by contacting hello@miaise.com. No refunds are issued for subsequent billing periods except as required by applicable law.
Lapse-state behavior. If your subscription becomes past-due (declined payment that is not resolved during the grace period in § 8) or you cancel, the Service applies a graduated lapse-state gating model. During a short past-due window, you continue to have full access; you will see in-app banners and receive email reminders to update your payment method. After that window, write features begin to be restricted while read-only access to your existing records is preserved. You retain the ability to export PHI and other records during any lapse state. Full deletion follows the schedule in the Privacy Policy and the BAA, not the lapse state itself.
8. Payment processing and saved cards
Stripe as payment processor. All payment transactions are processed by Stripe, Inc. By subscribing, you agree to Stripe's Services Agreement and authorize Miaise to instruct Stripe to charge your designated payment method for your Subscription fees.
PHI and payment data. PHI is not transmitted to Stripe at any point. This separation is enforced at the architecture level by a typed schema gate applied to every Stripe API call. Your payment information is stored by Stripe under its own PCI-DSS-compliant infrastructure, not by Miaise.
Declined payments and grace period. If a scheduled charge is declined, Miaise will notify you by email and Stripe will attempt to retry the charge under its Smart Retries schedule. If payment is not collected during that retry window, Miaise will apply the lapse-state gating model described in § 7 while continuing to attempt collection. Your data will not be deleted solely due to a payment failure.
Chargebacks. If you initiate a chargeback or dispute with your payment provider, Miaise reserves the right to suspend your account pending resolution of the dispute. Miaise will cooperate with Stripe and your card issuer's dispute-resolution process.
Marketplace processing through Stripe Connect Express. Miaise operates booking-page payment collection as a Stripe Connect platform; therapists who opt in receive a Stripe Connect Express account in their own name. The Stripe Connect Express terms accepted by the therapist during the in-app onboarding flow govern the therapist's direct relationship with Stripe, including KYC, payout, and chargeback handling. For each accepted booking that involves payment:
- The booking-page client pays Stripe through the Miaise platform.
- Stripe disburses the payment to the therapist's connected account, less Stripe's processing fees and the Miaise platform fee disclosed at the time of Connect onboarding.
- Refunds, partial refunds, and dispute responses are initiated by the therapist through the Miaise interface, which calls Stripe Connect; the therapist remains the merchant of record for the underlying massage therapy or bodywork service.
- Miaise does not hold client funds or operate as a money transmitter. Funds flow through Stripe accounts under Stripe's regulatory licensing.
The therapist is responsible for the underlying service delivery, the merchant-of-record obligations applicable to that service, and any state or local sales-tax or service-tax compliance arising from those bookings. Miaise's role is the platform that operates the booking page, the payment-collection workflow, and the marketplace fee.
Platform fee. The current Miaise platform fee for marketplace bookings is stated in the Connect onboarding flow and in the in-app booking settings before the therapist enables payment collection. Changes to the platform fee will be communicated by email at least 30 days in advance and are subject to the price-change provisions of § 7.
Booking-page refunds. When a booking-page client requests a refund through the therapist, the therapist initiates the refund inside the Miaise interface. Refunds reduce the therapist's connected-account balance by the refunded amount; the Stripe processing fee on the original charge is returned per Stripe's then-current refund policy. The Miaise platform fee is refunded with the underlying payment for refunds processed within 60 days of the original charge, and is retained for refunds processed thereafter, unless applicable law requires otherwise. The therapist is responsible for setting and disclosing the cancellation and refund policy published on the public booking page.
Saved cards and off-session charges generally. The Service lets a therapist save a client's card so the therapist can charge it later, without the client present at the time of the charge, for amounts the client owes under the therapist's terms. These are off-session, merchant-initiated transactions. In every case the client's card is held by Stripe; Miaise stores only a Stripe payment-method reference, never the full card number. In every case Miaise captures and stores a separate authorization before the card is saved, recording the verbatim authorization text the client accepted and the fee, cancellation-notice, and other values in effect at the time, so the basis for any later charge can be reconstructed from the record rather than the live screen. In every case an off-session charge is processed only when a valid authorization is on record; if no authorization is on record, Miaise does not initiate the charge. The therapist sets the amounts and the cancellation terms, and the therapist is the merchant of record for any such charge. The Service supports the following saved-card arrangements:
- Booking-tied saved card (public booking page). Some booking-page configurations save a booking-page client's card at the time the client books. This applies when a service collects payment up front, takes a deposit, or holds a card on file for a cancellation or no-show fee. Before the card is saved, the booking page presents a separate authorization stating who may charge the card, what may be charged (a cancellation or no-show fee under the therapist's stated policy, or a deposit, retainer, or remaining balance for the booked service), that charges happen only when one of those situations applies rather than on a fixed recurring schedule, and how the client can withdraw the authorization for future charges.
- Standing client-level saved card. A therapist may save a client's card at the client level, against the therapist's own client record, under a standing authorization that applies to the client's current and future bookings with that therapist until the client withdraws it. This arrangement is captured by the therapist (for example, with the client present in the studio, or through a secure card-capture link the therapist sends to the client as described below), not on the public booking page. Before the card is saved, the client is presented with, and must affirmatively accept, an authorization stating that the therapist, through Miaise, may charge the card for amounts the client owes the therapist for services without the client present; that the authorization applies to current and future bookings until withdrawn; the categories of charge it covers (a deposit or retainer to hold an appointment, the balance owed for a service after the appointment, a late-cancellation or no-show fee, and an amount the therapist has invoiced for a service the client received); that the authorization does not cover charges unrelated to the therapist's services, such as retail products or tips, unless the client agrees to those separately; that charges happen only when one of those situations applies rather than on a fixed recurring schedule; that the therapist will tell the client the amount before each charge and the client will receive an emailed receipt after it; and how the client can withdraw the authorization for future charges at no cost. Withdrawing the authorization does not affect an amount the client already owes for a service received or a cancellation that has already occurred.
- Therapist-initiated charge against a saved card. Once a valid standing authorization is on record, the therapist may initiate an off-session charge of a specified amount against the saved card from inside the Service. Each such charge must be assigned one of a fixed, closed set of reasons: a deposit, a retainer, a balance for a service, a cancellation fee, a no-show fee, or an amount the therapist has invoiced for a service the client received. Miaise does not support open-ended, recurring, or non-service charges against the saved card. Before each therapist-initiated charge, Miaise sends the client a notice of the charge by email identifying the therapist, the amount, and the reason; an emailed receipt follows after the charge is processed. Miaise records each charge, the reason assigned, and a reference to the authorization relied on, in an append-only charge history tied to the client record.
Save-card and payment links. To capture a card without the client present, a therapist may have Miaise send the client a secure, client-tied link to a card-capture page, delivered by SMS, by email, or both. The link carries appointment context (such as the appointment date and time) so the client can recognize the request; consistent with Miaise's SMS body-redaction practice, the SMS form of the link omits the studio address and the service or modality. The card-capture page is hosted on miaise.com, presents the standing authorization described above, and saves the card to Stripe in the same way as the in-studio path. The link is single-purpose and tied to the specific client and therapist. SMS delivery is subject to the client's SMS consent and the practices described at miaise.com/sms-consent; email delivery is subject to the transactional-email practices in the Privacy Policy.
9. Intellectual property
Miaise platform IP. All intellectual property in the Service, including the software, source code, algorithms, user interface design, branding, logos, wordmarks, and Miaise-authored content, is owned by Deckmint LLC or its licensors. These Terms do not grant you any ownership interest in any of the foregoing. You receive only the limited right to use the Service as described in these Terms for the duration of your active account.
Your content. SOAP notes, intake form responses, mileage logs, session records, and other content that you create, upload, or generate within the Service ("Your Content") remain yours. You grant Miaise a non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit Your Content solely to the extent necessary to provide the Service to you, to comply with applicable law, and to fulfill Miaise's obligations under the BAA. This license ends when your data is deleted in accordance with the retention schedule described in the BAA and Privacy Policy, subject to any legal hold obligations.
AI-assisted content. SOAP drafts and other content generated with AI assistance (see § 10) are produced at your direction and become part of Your Content when you review, edit, and sign them. Miaise does not claim ownership of AI-assisted artifacts created within your account.
Client content. Client Records contain information about your clients. As the Covered Entity under the BAA, you are responsible for obtaining any necessary client authorizations and for handling that information in compliance with HIPAA and applicable state law. Miaise processes Client Records as your Business Associate.
Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant Miaise a perpetual, irrevocable, royalty-free right to use that feedback in any way without obligation to you.
No implied licenses. Nothing in these Terms grants any license by implication, estoppel, or otherwise beyond what is expressly stated.
10. AI features
AI-assisted features in the Service. The Service includes the following features that are powered in whole or in part by artificial intelligence:
- SOAP note drafting using Anthropic's Claude Sonnet 4.6 model. The Service generates a draft SOAP note based on your session input. You must review, edit, and sign every SOAP note before it is saved as a finalized record. No SOAP note is filed or transmitted without your affirmative sign-off.
- Contraindication signaling using a combination of rules-based logic and AI narrative analysis of intake form responses through Claude Sonnet 4.6. Signaling surfaces potential contraindications for your review. You decide whether and how to act on any signal. The Service does not make clinical decisions.
- Voice transcription using AWS Transcribe Medical, which converts your voice notes into text for review and incorporation into session records.
- Pre-session briefing audio using AWS Polly Generative voices, which converts a short text briefing about your next client into spoken audio you can play back before the visit.
AI inference providers. Claude Sonnet 4.6 inference runs on Google Cloud Vertex AI as the primary path and on AWS Bedrock as the contingency path. Both providers operate under Business Associate Agreements with Miaise. Anthropic does not hold a direct relationship with Miaise for production inference. See the Privacy Policy § 7 for the detailed posture.
Therapist as final author. For every artifact generated with AI assistance, you are the final author and responsible party. Miaise records an AI-provenance marker with each artifact at the time of generation, including the model identifier, the provider that served the inference, and the timestamp. That marker does not diminish your authorship or your professional responsibility for the accuracy of the final record.
No clinical decision-making. AI features are drafting and flagging aids. They do not constitute medical advice, a clinical opinion, or a recommendation to take or not take any action with respect to a client. You retain full clinical responsibility under your license.
AI training. Miaise does not use your PHI or Your Content to train, fine-tune, or otherwise improve any AI model, whether operated by Miaise or by its Subprocessors, except as expressly permitted under the BAA. Both Vertex AI and AWS Bedrock are configured in modes where customer prompts and completions are not used for base model training, consistent with their respective BAAs and service terms. You are prohibited from using AI-assisted output containing PHI to train third-party models, as stated in § 5.
Colorado automated decision-making technology disclosure. Colorado SB 26-189, enacted in May 2026, established a new framework for automated decision-making technology ("ADMT") used to materially influence consequential decisions affecting Colorado residents, effective January 1, 2027. The new framework replaces the prior Colorado Artificial Intelligence Act. The Colorado Attorney General is conducting rulemaking that must conclude by January 1, 2027, and has stated it will not enforce the new framework before the rulemaking concludes and the statute takes effect. Miaise has implemented the following human-in-the-loop controls applicable to its AI-assisted features regardless of statutory classification: (a) no AI-generated artifact is finalized without therapist review and signature; (b) contraindication signals are advisory only and labeled as such in the interface; (c) AI provenance is recorded and disclosed in-app with every artifact; and (d) therapists can disable AI features in account settings. Before the new framework's January 1, 2027 effective date, Miaise will publish a Colorado consumer notice consistent with the Colorado Attorney General's rulemaking under SB 26-189.
Utah AI Policy Act disclosure. As required by the Utah Artificial Intelligence Policy Act (Utah Code Title 13, Chapter 2d), Miaise discloses that generative AI is used in the SOAP note drafting, contraindication signaling, and pre-session briefing audio features of the Service, and labels the corresponding in-app surfaces accordingly.
California AB 2013 training-data statement. Miaise's AI-assisted features are powered by Anthropic's Claude Sonnet 4.6 model, hosted on Google Cloud Vertex AI (primary) and AWS Bedrock (contingency). Anthropic publishes information about training data and model development practices at anthropic.com. Miaise does not independently train large language models.
11. Third-party services
The Service relies on Subprocessors to deliver certain functionality. Current Subprocessors are listed at /security#subprocessors and described in detail in the Privacy Policy § 5. Key third parties include:
- Google Cloud Platform — application infrastructure (Firestore, Cloud Storage, Cloud Run, Cloud Functions, Identity Platform, Secret Manager, Cloud Logging) and Vertex AI inference, all covered by Google Cloud's BAA.
- Amazon Web Services (AWS) — AWS Bedrock (Claude Sonnet 4.6 inference, contingency path), AWS Transcribe Medical (voice transcription), AWS Polly Generative (briefing audio), and AWS Textract (receipt OCR), all covered by AWS's BAA.
- Telnyx, Inc. — SMS delivery through a US toll-free number, operating as a conduit carrier under HIPAA's conduit exception. Miaise enforces strict SMS body-redaction so message bodies carry only tokenized links and operational metadata, not PHI. See miaise.com/sms-consent for the consent capture model.
- Resend, Inc. — Transactional email delivery and the SMTP relay for Identity Platform account-state notifications, so that all account email originates from a miaise.com sender domain.
- Mapbox — Server-side reverse geocoding for mileage logging and map-tile rendering on the mobile map view. Only the coordinates of unknown destinations are sent for geocoding; known client addresses are never transmitted to Mapbox.
- Stripe, Inc. — Subscription billing under § 8, and Stripe Connect Express for marketplace processing on the public booking page. Operates under HIPAA's payment-processing exemption; no PHI is transmitted to Stripe.
- Plaid, Inc. — Optional bank-account aggregation for business-expense import, on a therapist-by-therapist basis. The data flow is described in the Privacy Policy § 3.5 and is governed by the Gramm-Leach-Bliley Act, not HIPAA.
- Expo (650 Industries, Inc.) and platform push services (Apple, Google) — Push notification delivery. Notification payloads do not include PHI.
Each Subprocessor's own terms of service and privacy policy apply to the portion of the experience they deliver. Miaise selects Subprocessors that have entered into appropriate data processing agreements and, where applicable, HIPAA BAAs. Miaise is not liable for the acts or omissions of Subprocessors to the extent those acts or omissions are outside Miaise's reasonable control, provided that Miaise has exercised reasonable care in selecting and overseeing those Subprocessors.
Miaise will update the Subprocessor list at the URL above when Subprocessors are added or removed. For Subprocessors that handle PHI, material changes will also be communicated pursuant to the BAA.
Public Booking Page operations. When you enable Miaise's public booking page, miaise.com/book/[your-slug] becomes a Miaise-hosted page on which booking-page clients submit booking requests directed to you. You configure the page (service catalog, booking-window and lead-time rules, cancellation policy, photo gallery, in-frame theming, studio address or service-area policy) inside the in-app booking-page editor. You are the merchant of record for the underlying massage therapy or bodywork service. Miaise operates the platform that hosts the page, captures booking-page client consent (including SMS consent as described at miaise.com/sms-consent), routes requests to you, and processes payment through Stripe Connect Express as described in § 8. You agree to maintain accurate booking-page content and to publish a cancellation and refund policy that complies with applicable consumer-protection law.
Bank-account connection (Plaid). If you choose to connect a financial account through Plaid for business-expense import, the connection is established directly between you and Plaid inside Plaid's Link interface. You agree to Plaid's End User Privacy Policy at the time of connection. Miaise stores only the masked account metadata and transaction records Plaid returns; Miaise does not see, store, or have access to your bank credentials. You may disconnect the account at any time from the in-app banking settings, and disconnection stops further transaction imports while preserving the historical records already imported for the retention period stated in the Privacy Policy § 12.
12. DMCA and copyright
Designated agent. Miaise's designated agent for receiving notices of claimed copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512) is:

DMCA takedown procedure. If you believe that content on the Service infringes your copyright, you may submit a written notice to the designated agent that includes: (a) a description of the copyrighted work you claim has been infringed; (b) identification of the infringing material and its location on the Service with sufficient detail for Miaise to locate it; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature.
Counter-notice procedure. If you believe that material was removed or disabled as a result of a mistake or misidentification, you may submit a counter-notice to the designated agent that includes: (a) identification of the removed material and its location before removal; (b) a statement under penalty of perjury that you have a good-faith belief the material was removed by mistake; (c) your name, address, and telephone number; (d) a statement consenting to the jurisdiction of the federal district court for your judicial district (or, if you are outside the United States, any judicial district in which Miaise may be found); and (e) your physical or electronic signature.
Repeat-infringer policy. Miaise will terminate the accounts of users who are determined to be repeat infringers in appropriate circumstances.
13. Disclaimers
As-is basis. The Service is provided on an "as is" and "as available" basis, without warranty of any kind. To the maximum extent permitted by applicable law, Miaise expressly disclaims all warranties, whether express, implied, statutory, or otherwise.
No implied warranties. Miaise specifically disclaims any implied warranty of merchantability, implied warranty of fitness for a particular purpose, and implied warranty of non-infringement.
No medical advice warranty. Miaise makes no representation or warranty that the Service, including any AI-assisted feature, produces clinically accurate, complete, or reliable output. Nothing in the Service is medical advice. See § 6 and § 10.
Uptime. Miaise will use commercially reasonable efforts to maintain Service availability. Miaise does not warrant any particular level of uptime, availability, or response time, and does not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. Planned maintenance periods will be communicated in advance when practicable.
Third-party content and services. Miaise makes no warranty regarding the accuracy, reliability, or availability of any third-party services, including those of Subprocessors listed in § 11. Miaise does not endorse any third-party product or service linked to or integrated with the Service.
Some jurisdictions do not allow the exclusion of implied warranties or certain other disclaimers. In those jurisdictions, the disclaimers above apply to the maximum extent permitted by law.
14. Limitation of liability
Cap on liability. To the maximum extent permitted by applicable law, the total cumulative liability of Miaise and its officers, directors, employees, and agents to you for any claim arising out of or related to these Terms or the Service, whether based on contract, tort, statute, or any other legal theory, is limited to the greater of: (a) the total Subscription fees you paid to Miaise in the 12-month period immediately preceding the claim giving rise to liability, or (b) one hundred US dollars ($100.00).
Excluded categories of damages. To the maximum extent permitted by applicable law, Miaise is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, loss of goodwill, business interruption, or the cost of substitute services, even if Miaise has been advised of the possibility of such damages.
Carve-outs. The liability cap in this section does not apply to:
- Miaise's indemnification obligations under § 15.
- Liability arising from Miaise's fraud, gross negligence, or willful misconduct.
- Miaise's obligation to refund an amount charged to a client's saved card through a malfunction of Miaise's payment systems, where the charge was not initiated by you and not authorized under the applicable card authorization described in § 8. This carve-out covers the refund of the erroneously charged amount and any associated card-processing fees; it does not expand Miaise's liability for any other category of damages, which remains subject to this section.
- Claims that cannot be limited under applicable law.
Allocation of risk. The limitations in this section reflect a reasonable allocation of risk between you and Miaise. Miaise could not provide the Service at current pricing without these limitations. If you are unwilling to accept this allocation of risk, your remedy is to stop using the Service and cancel your Subscription.
Essential basis. The exclusions and limitations in this section are an essential element of the basis of the agreement between you and Miaise. Miaise would not have entered into these Terms without them.
15. Indemnification
Your indemnification of Miaise. You agree to defend, indemnify, and hold harmless Deckmint LLC and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your clinical conduct, including any claim by a client or third party arising from the services you provide in your practice.
- Your breach of these Terms, including any representation or warranty you made herein.
- Your breach of the BAA.
- Your violation of any applicable federal, state, or local law or regulation, including HIPAA or your state's massage therapy licensing requirements.
- Your misuse of the Service in violation of § 5.
- Your infringement or alleged infringement of any third party's intellectual property rights through Your Content.
Miaise's indemnification of you. Miaise agrees to defend, indemnify, and hold you harmless from and against any third-party claims alleging that the Service itself (excluding Your Content and any third-party services) infringes a valid United States patent, copyright, trademark, or trade secret, provided that you: (a) promptly notify Miaise in writing of the claim; (b) give Miaise sole control over the defense and settlement of the claim; and (c) provide Miaise with reasonable cooperation. This indemnification does not apply to claims arising from your modification of the Service, your combination of the Service with products or services not provided or approved by Miaise, or your use of the Service in violation of these Terms.
Cooperation. The party seeking indemnification will give the indemnifying party prompt written notice of the claim, reasonable cooperation in the defense, and sole control over the defense and settlement, provided that no settlement that imposes an obligation on the indemnified party may be entered without that party's written consent.
16. Termination
Cancellation by you. You may cancel your Subscription and close your account at any time through the in-app account settings. See § 7 for the refund posture that applies to cancellations.
Suspension or termination by Miaise. Miaise may suspend or terminate your account in the following circumstances:
- Material breach with notice. If you materially breach these Terms or the BAA, Miaise will provide written notice (by email to your account email address) describing the breach and giving you 14 days to cure. If you do not cure within that period, Miaise may terminate your account.
- Immediate suspension. Miaise may suspend your account immediately, without prior notice, in the following circumstances: (a) a credible security threat or active breach affecting the Service or other users' data; (b) a court order or regulatory directive requiring suspension; (c) credible evidence of fraudulent activity; or (d) any conduct that presents an immediate risk of harm to a client, third party, or Miaise. Miaise will notify you of the reason for suspension promptly after taking that action, to the extent permitted by law.
- License lapse. If Miaise determines that your license to practice has lapsed, been suspended, or been revoked, Miaise may suspend or terminate your account after providing notice and a reasonable opportunity to provide evidence of continued licensure.
Effect of termination on data. Upon termination of your account, you may request an export of Your Content (excluding PHI-containing records subject to the BAA's retention terms) within 30 days of termination. After that 30-day window, Miaise will delete or de-identify your data in accordance with the schedule set out in the Privacy Policy and BAA, subject to any applicable legal hold or regulatory retention requirement. PHI retention and deletion are governed by the BAA.
Survival. The following sections survive termination: § 5 (acceptable use, with respect to pre-termination conduct), § 9 (intellectual property), § 12 (DMCA), § 13 (disclaimers), § 14 (limitation of liability), § 15 (indemnification), § 17 (dispute resolution and governing law), and § 19 (miscellaneous).
17. Dispute resolution and governing law
Governing law. These Terms and any dispute arising out of or related to these Terms or the Service are governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles.
Venue. Any legal action or proceeding arising out of or relating to these Terms or the Service that is not resolved through the informal negotiation process described below shall be brought exclusively in the federal or state courts sitting in St. Charles County, Missouri. You and Miaise each submit to the personal jurisdiction of those courts and waive any objection to venue in those courts.
Informal dispute resolution. Before filing any legal claim (other than a claim for emergency injunctive or equitable relief), the party with a grievance must provide written notice to the other party describing the nature of the dispute and the relief sought. The parties agree to attempt to resolve the dispute through good-faith negotiation for a period of 30 days after that notice is delivered. If the dispute is not resolved within that 30-day period, either party may pursue its available legal remedies.
Notice to Miaise must be sent to: hello@miaise.com and, by postal mail, to Deckmint LLC dba Miaise, Saint Peters, Missouri. Notice to you will be sent to the email address associated with your account.
Class action waiver. To the maximum extent permitted by applicable law, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service may be brought only in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. You waive your right to participate in a class action with respect to any such claim.
No mandatory arbitration. Nothing in these Terms requires you to arbitrate any dispute. Disputes that are not resolved through informal negotiation will be resolved through litigation in the courts identified above.
18. Changes to these Terms
Miaise may update these Terms from time to time. The version number and effective date at the top of the document reflect the current version.
Material changes. If Miaise makes a material change to these Terms (including changes to pricing terms described herein, to the limitation of liability, or to the dispute resolution provisions), Miaise will provide at least 30 days' advance notice by email to the address associated with your account. The notice will identify the change and its effective date.
In-app re-acceptance. For material changes, Miaise may require you to affirmatively accept the updated Terms within the app before continuing to use the Service. If you do not accept the updated Terms by the effective date, your access to the Service may be suspended until you accept or until you cancel your account.
Non-material changes. For changes that are not material, such as clarifications, corrections, or updates required by law, Miaise will update the document and the effective date. Continued use of the Service after the effective date of any update constitutes your acceptance of the updated Terms.
Reviewing prior versions. Miaise will maintain prior versions of these Terms accessible through the Legal section of the website so that you can review what has changed.
19. Miscellaneous
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
No waiver. Miaise's failure to enforce any right or provision of these Terms on any occasion is not a waiver of that right or provision. Any waiver of a specific breach does not constitute a waiver of any subsequent breach.
Assignment. Miaise may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, asset sale, or similar corporate transaction, without your consent, provided that the assignee assumes Miaise's obligations under these Terms. You may not assign your rights or obligations under these Terms to any other person or entity without Miaise's prior written consent. Any purported assignment in violation of this section is void.
Force majeure. Miaise is not liable for any failure or delay in performance caused by circumstances outside its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, internet outages, or third-party infrastructure failures, provided that Miaise uses commercially reasonable efforts to resume performance as soon as practicable.
Entire agreement. These Terms, together with the Privacy Policy, the BAA (for Therapist Accounts), and any other policies incorporated by reference, constitute the entire agreement between you and Miaise with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the Service.
Electronic signatures. You agree that electronic signatures and acceptances (including clicking "I agree" or a similar affirmation in the app or on the website) are valid and legally binding to the same extent as physical signatures under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state law.
Relationship of the parties. Nothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between you and Miaise. You are an independent contractor with respect to your clinical practice. Miaise is an independent contractor with respect to the services it provides to you.
Headings. Section headings are for convenience only and have no legal effect.
